Terms of Service

These Terms of Service ("Terms") are an agreement between you and ProPaint Construction, LLC ("ProPaint", "we", "us"), 100 E. Big Beaver Rd, Suite 850, Troy, MI 48083. They apply when you use propaintconstructionmi.com, contact us or request an estimate, or authorize ProPaint to access your data on one of the online marketplaces and lead platforms we connect with (for example, Thumbtack). By using our website or granting that authorization, you agree to these Terms. If you do not agree, do not use the website or grant the authorization.

1. Our services

ProPaint is a commercial painting and construction contractor serving Michigan. Through our website, phone line, email and connected platforms, you can learn about our services, request estimates, send messages and communicate with our staff. Construction work itself is performed only under a separate written contract (see Section 4).

2. Connecting a third-party platform account

When you connect your account on an online marketplace or lead platform to ProPaint, or authorize ProPaint through that platform, you allow ProPaint to do the following:

• Scope: receive and read the leads, job requests and related details (such as your name, contact information, project description and location) and the messages you exchange with ProPaint on that platform, and send replies and job updates to you through it, limited to the permissions shown on the platform's authorization screen.
• Use: ProPaint uses this data only to respond to you, prepare estimates, schedule and perform the requested work, notify our staff of new requests and messages, and keep business records, as described in our Privacy Policy. We do not sell this data or use it for unrelated advertising.
• Tokens: The platform issues access tokens to ProPaint for this purpose. We store them securely and use them only within the scope above.
• Revocation: you may revoke this authorization at any time through the platform or by emailing sales@propaintconstructionmi.com. After revocation we stop retrieving new data and delete or invalidate the tokens. Information received before revocation is kept and handled under our Privacy Policy.

The platform's own terms and policies also apply to your use of that platform.

3. Acceptable use

You agree not to:

• submit false or misleading information, or someone else's information, or impersonate anyone;
• send spam, malware, or unlawful, abusive or harassing content;
• attempt to gain unauthorized access to our website, administrative areas, systems or data, or interfere with their operation;
• scrape, copy or reuse our website content for commercial purposes without our written permission.

4. Estimates are not binding until a contract is signed

Estimates, quotes, price ranges, chat answers and other information we provide through the website, phone, email or a connected platform are for information and planning only. They are based on the information available to us and may change after a site visit, review of drawings and specifications, or changes in scope, materials or schedule. No agreement to perform work exists until both you and ProPaint sign a written contract or proposal. That signed contract governs the work and controls over these Terms if they conflict.

5. Intellectual property

The website and its content, including text, photographs, logos and design, belong to ProPaint or its licensors and are protected by law. You may view and print pages for your own use in considering our services. The ProPaint name and logo may not be used without our written permission. Content you send us (such as photos or drawings) remains yours; you permit us to use it to evaluate, bid on and perform your project.

6. Disclaimers

The website and its content are provided "as is" and "as available." To the fullest extent permitted by law, ProPaint disclaims all warranties about the website, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the website will be uninterrupted or error-free. Warranties for construction work, if any, are only those stated in a signed contract.

7. Limitation of liability

To the fullest extent permitted by law, ProPaint will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or data, arising from your use of the website, our communications, or a platform connection. Our total liability for any claim arising from these Terms is limited to one hundred U.S. dollars (US $100). This section does not limit liability that cannot be limited by law, and does not apply to work performed under a signed contract, which is governed by that contract.

8. Indemnity

You agree to defend, indemnify and hold harmless ProPaint and its owners, employees and agents from claims, losses and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the website or of the information you submit.

9. Termination

We may suspend or end your access to the website, or disconnect a platform connection, at any time if we believe you have violated these Terms or for any other lawful business reason. You may stop using the website and revoke a platform connection at any time. Sections 4 through 8 and 10 survive termination.

10. Governing law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules. Any dispute arising from these Terms will be brought in the state or federal courts serving Oakland County, Michigan, and you consent to their jurisdiction.

11. Changes to these Terms

We may update these Terms from time to time by posting the new version on this page and updating the "Last updated" date. Continuing to use the website, or keeping a platform connection active, after a change means you accept the updated Terms.
